1. Agreement to these Terms
These Terms of Service (the "Terms") are a legal agreement between you and Vytier, Inc. ("Vytier," "we," "us," or "our"). They govern your access to and use of the Vytier mobile app, website, and any related features (together, the "Service"). By creating an account, joining a family circle, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
2. What Vytier is
Vytier is a consumer application designed to help families and trusted supporters coordinate everyday care for a loved one. Core features include shared schedules, medication and appointment reminders, notes, group messaging, and permissions for who can see and edit what within a family circle. Vytier is a general-purpose organization tool and is offered on an "as available" basis.
3. Eligibility & accounts
You must be at least 18 years old to create a Vytier account. If you are between 13 and 17, a parent or guardian may invite you into a family circle with limited permissions; you may not create an account on your own. Vytier is not intended for children under 13, and we do not knowingly collect information from them.
You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Notify us promptly at security@vytier.com if you believe your account has been compromised.
4. Family circles & invitations
When you create or join a family circle, other members of that circle can see the schedules, notes, and messages that are shared within it, subject to the permissions set by the circle owner. You are responsible for who you invite into your circle and for the accuracy of the information you share about others. Do not invite someone into a circle, or share information about a person, without an appropriate legal basis to do so (for example, being that person's family member, guardian, or otherwise having their consent).
5. Your content
You retain all rights to the information you provide to Vytier, including schedules, notes, photos, and messages ("Your Content"). By using the Service, you grant Vytier a limited, worldwide, non-exclusive license to host, store, transmit, back up, and display Your Content solely to operate and improve the Service for you and the members of your circle. We do not sell Your Content, and we do not use it to train third-party generative AI models.
6. Acceptable use
You agree not to use the Service to:
- Harass, threaten, defame, or harm any person.
- Upload content that is unlawful, infringing, or violates someone else's privacy.
- Impersonate another person or misrepresent your relationship to them.
- Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service.
- Use the Service to send unsolicited commercial messages ("spam").
- Use the Service to make time-critical medical decisions or to replace emergency care.
We may remove content or suspend accounts that violate these rules.
7. Not medical advice — not a medical device
Vytier is not a medical device. It does not diagnose, treat, cure, mitigate, or prevent any disease or condition. Reminders and schedules are convenience tools; they do not guarantee that a task will be completed on time or at all. You should not rely on the Service in an emergency. If you or someone you care for is having a medical or mental-health emergency, call your local emergency number immediately.
Information in the Service is not medical, legal, or professional advice. Always confirm medications, doses, appointments, and instructions with a qualified professional.
8. Plans & subscriptions
Vytier is free to start. Some features may be offered under a paid subscription. Prices, features, and billing cycles will be described at the point of purchase. Subscriptions renew automatically until cancelled through your app store or account settings, in accordance with the store's terms. Except where required by law, fees are non-refundable.
9. Third-party services
The Service may link to or integrate with third-party services (for example, calendar imports, notification providers, or payment processors). We are not responsible for the content, policies, or practices of those services. Your use of them is governed by their own terms.
10. Intellectual property
The Service, including its software, design, logos, and content authored by Vytier, is owned by Vytier or its licensors and is protected by copyright, trademark, and other laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
11. Termination
You may stop using the Service and delete your account at any time from within the app or by emailing privacy@vytier.com. We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the Service. Sections of these Terms that by their nature should survive termination will survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure against every intrusion, or that reminders, messages, or notifications will always be delivered on time.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYTIER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Vytier from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any right of a third party.
15. Governing law & disputes
These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts. Nothing in this section limits your rights under applicable consumer-protection law.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll let you know in the app or by email before the changes take effect. Your continued use of the Service after the effective date means you accept the updated Terms.
