Terms of Service

1. Acceptance of Terms

By accessing or using the Vytier platform (“Service”), including our mobile applications (iOS and Android) and web portal, you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Vytier provides a Family Caregiving coordination platform that enables patients, caregivers, guardians, and well-wishers to communicate, schedule, track health metrics, and manage care-related activities. The Service includes:

• Care circle management and communication tools
• Caregiver scheduling and time-tracking
• Health metrics logging and visualization
• Medication and task management
• Billing and payment processing

3. Medical Liability Disclaimer

3.1 No Medical Advice

The Service is designed to facilitate care coordination and communication among members of a care circle. Vytier does not provide medical advice, diagnosis, treatment recommendations, or clinical decision support. Nothing within the Service should be construed as a substitute for professional medical advice.

3.2 No Doctor-Patient Relationship

Use of the Service does not create a doctor-patient, therapist-patient, or any other clinical relationship between Vytier and any user of the platform.

3.3 Emergency Situations

The Service is not intended for use in medical emergencies. If you or someone you are caring for experiences a medical emergency, call 911 or your local emergency services immediately.

3.4 App Store Compliance (2026 Requirements)

In accordance with 2026 Apple App Store and Google Play Store requirements for health-related applications, the following applies:

• Vytier is classified as a “health management and wellness” application, not a medical device.
• The application has not been reviewed, approved, or cleared by the FDA or any other regulatory body as a medical device.
• Health data entered into the platform is user-reported and has not been clinically validated by Vytier.
• Any integration with clinical systems or electronic health records (EHR) is provided for convenience only and does not constitute clinical endorsement.

4. User Accounts & Responsibilities

4.1 Account Creation

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep this information current.

4.2 Role-Based Responsibilities

Each user role carries specific responsibilities:

• Patients: Responsible for the accuracy of self-reported health information and for communicating care needs to their care circle.
• Caregivers: Responsible for accurate time-tracking, honest documentation of care activities, and adherence to care plans.
• Guardians: Responsible for oversight of care arrangements, financial obligations, and maintaining appropriate access permissions.
• Well-Wishers: Responsible for respecting privacy boundaries and using the platform for supportive purposes only.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Share login credentials with unauthorized individuals
• Attempt to access PHI of individuals outside your approved care circle
• Upload malicious code, viruses, or harmful content
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to harass, intimidate, or harm any individual
• Misrepresent your identity, role, or qualifications

6. Intellectual Property

The Service, including its design, features, code, and content (excluding user-generated content), is the intellectual property of Vytier Health Technologies. All rights are reserved. Users retain ownership of their personal data and PHI.

7. Limitation of Liability

To the maximum extent permitted by law, Vytier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Medical outcomes or health decisions made based on information accessed through the Service
• Service interruptions, data loss, or unauthorized access (except where caused by Vytier's gross negligence)
• Actions or inactions of caregivers, patients, or other users of the platform
• Third-party integrations or services

8. Termination

Vytier reserves the right to terminate or suspend your account immediately, without prior notice, for conduct that violates these Terms or is harmful to other users, the Service, or third parties. Upon termination, your right to use the Service will cease immediately. Data retention following termination is governed by our Privacy Policy.

9. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Class action waivers apply to the maximum extent permitted by law.

10. Changes to Terms

Vytier reserves the right to modify these Terms at any time. Material changes will be communicated via email and in-app notification at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance.
